These Affiliate Partner Terms (the “Agreement”) govern participation in the mktg.ai Affiliate Partner Program (the “Program”) offered by mktg.ai, Inc., located at 5 Dundee Road, Larchmont, NY 10538, United States (“mktg.ai” or “Company”).
 

1. Definitions

“Account” – The account through which the Partner accesses the Reditus affiliate platform.
“Partner” – A legal entity or natural person who joins the Program to refer potential customers to mktg.ai in exchange for commission.
“Lead” – A potential customer referred to mktg.ai via the Partner’s referral link.
“Referral Services” – Promotional activities performed by the Partner that lead to qualified Leads or purchases of mktg.ai services.
“Commission” – The percentage of qualifying revenue earned from referred customers, as described in Section 4.
 

2. Enrollment and Acceptance

Partners apply to join the Program through the Reditus platform. Acceptance into the Program is at mktg.ai’s sole discretion. mktg.ai may reject applications for any reason, including but not limited to brand misalignment, spam activity, or prior misuse.
 

3. Relationship of the Parties

Participation in the Program does not create any partnership, joint venture, employment, or agency relationship between the Partner and mktg.ai. Neither Party may bind or represent the other in any manner.
 

4. Commission and Payments

(a) Commission Rate: Partners will receive a 20% commission on subscription revenue generated from eligible Leads for 12 months following the initial purchase date.
(b) Eligibility: Commissions are paid only for valid purchases by new customers who were not existing mktg.ai clients prior to referral. Self-referrals are not eligible.
(c) Payment: Commissions are calculated and paid monthly via PayPal, in USD, once the Partner’s accrued balance reaches at least $200. Balances below this threshold will roll over to the next month.
(d) Taxes: The Partner is responsible for any taxes or fees arising from commissions received.
(e) Reporting: All tracking and commission calculations are performed automatically via Reditus. Disputes regarding payment must be submitted in writing within 7 days of issuance.
 

5. Partner Obligations

Partners agree to:
- Comply with all applicable laws and regulations, including data protection and anti-spam laws.
- Represent mktg.ai truthfully and avoid misleading or unverified claims.
- Not bid on “mktg.ai” or related branded terms in paid advertising (e.g., Google Ads, Meta Ads).
- Use only approved marketing materials and adhere to the official mktg.ai Brand Book.
- Avoid self-referrals or fraudulent activity.
 

6. Intellectual Property

mktg.ai retains all ownership of its name, logos, trademarks, and materials. Partners may use approved branding assets solely for promotional purposes related to the Program. All use must comply with the mktg.ai Brand Book and may not be altered or used in a misleading manner.
 

7. Term and Termination

This Agreement begins upon Partner acceptance and continues until terminated by either Party. Either Party may terminate the Agreement at any time, with or without cause, by providing written notice via email. Upon termination, no additional commissions will accrue, but unpaid valid commissions earned prior to termination will be paid according to Section 4.
 

8. Limitation of Liability

mktg.ai’s total liability under this Agreement will not exceed the total commissions paid to the Partner during the three (3) months preceding the event giving rise to liability. mktg.ai shall not be liable for indirect, incidental, or consequential damages, including loss of revenue or reputation.
 

9. Confidentiality

All non-public information exchanged between the Parties under this Agreement is confidential and may not be disclosed to third parties without written consent, except as required by law.
 

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising under or in connection with this Agreement shall be submitted exclusively to the state or federal courts located in Delaware.
 

11. Amendments

mktg.ai reserves the right to modify these Affiliate Partner Terms at any time. Material changes that affect commissions or Partner rights will be communicated by email at least 30 days prior to taking effect.
 

12. Miscellaneous

If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full effect. The Partner may not assign or transfer this Agreement without mktg.ai’s written consent. mktg.ai may assign or transfer this Agreement at its discretion.
 

By enrolling in the mktg.ai Affiliate Partner Program, you acknowledge and agree to these Affiliate Partner Terms.
